Terms and Conditions of Sale
By placing an order with Robotech Solutions Pty Ltd -GuardSec, here after referred to as “The Company,” for the items specified in the order (the “Goods”), you agree to the following terms and conditions:
1. PRICE (a) All prices quoted by The Company are current and accurate at the time of publication. We strive to ensure that product information and pricing on our website are up to date.
(b) Goods are sold with the understanding that you are responsible for paying additional charges, such as Goods & Services Tax (GST), stamp duty, fees, levies, and transportation costs. GST will be applied according to the laws in place at the time of purchase.
(c) All prices are based on the exchange rate at the time of quotation. Any fluctuations in exchange rates will result in corresponding adjustments to the price, which will be reflected in the final billing.
2. PAYMENT (a) Payment, including all applicable costs, must be made to The Company within 30 days from the date of the invoice. Timely payment is essential.
(b) Progress claims are due 14 days after the completion of work or receipt of goods and services.
(c) Failure to adhere to the payment terms will result in the following actions by The Company:
(i) Cancellation of agreed discounts or rebates.
(ii) Interest charged on outstanding amounts at a rate no less than 1% above the current Westpac Banking Corporation Limited indicator lending rate.
(d) Your credit card details will be securely encrypted to prevent unauthorized access. The Company uses SecurePay as a secure payment gateway. We are not responsible for any loss or damage resulting from fraudulent use of your credit card.
(e) Accepted payment methods include direct deposit, PayPal, Visa, and Mastercard.
(f) A tax invoice will be sent upon dispatch of the ordered goods.
3. DELIVERY (a) Delivery times are estimates, and The Company is not liable for any delays. Delays will not entitle you to cancel your order.
(b) The Company is not responsible for any damage to goods during transit.
(c) The Company reserves the right to over-supply or under-supply an order within reasonable limits. In the case of over-supply, you agree to pay for the excess.
(d) If goods are delivered on an installment basis over an indefinite period, The Company may hold sufficient stock to meet your requirements for up to one year.
(e) Delivery documents (invoices and dockets) will typically accompany the goods.
(f) Server cabinets/racks are delivered to the kerbside only. It is your responsibility to ensure that they fit in the lift or access points of your building. The Company does not provide services for carrying goods upstairs. Claims for damaged goods will not be accepted if goods are signed for as received in good condition.
(g) If you are unavailable to accept delivery, additional fees will be charged for re-delivery. If the courier returns the goods to The Company, you will be responsible for related costs.
4. SHORT DELIVERY You may not reject goods due to shortages unless you notify The Company in writing within 7 days of receipt of goods.
5. EXCLUSION OF LIABILITY (a) The Company disclaims any warranty or liability if the goods are used with items from suppliers other than The Company.
(b) If goods are manufactured according to your specifications, you are responsible for any infringement of patents, trademarks, or copyrights.
(c) The Company reserves the right to:
(i) Enter your premises to reclaim goods that have not been fully paid for.
(ii) Keep or resell any goods repossessed under these conditions.
(d) Until payment is made in full, you must store the goods separately and ensure they are identifiable as the property of The Company.
6. RISK The risk of loss or damage to the goods passes to you upon delivery or when the goods are collected by you, your agent, or courier.
7. RETURN OF GOODS The Company is not obligated to accept returns, but may do so on agreed terms. Returns will only be accepted if goods are “as new” and in their original condition. Return costs will be your responsibility.
8. STORAGE The Company reserves the right to charge for storage if delivery instructions are not provided by the required time or if goods are not collected on the agreed date.
9. CANCELLATION AND CHANGES Orders may not be canceled or modified without written consent from The Company, which may require indemnification for any losses.
10. SUBSTITUTION Unless agreed otherwise, The Company reserves the right to supply goods with equivalent properties and capacities as substitutes for the ordered items.
11. WAIVER No provision or breach of these terms will be waived by previous actions or omissions.
12. APPLICABLE LAW This agreement is governed by the laws of New South Wales, and any disputes will be resolved within the jurisdiction of New South Wales courts.
13. WARRANTIES AND LIMITATION OF LIABILITY (a) Except as stated, The Company disclaims all warranties, guarantees, and conditions. We are not liable for any loss, damage, or injury, including consequential loss, arising from negligent acts or omissions.
(b) You agree to indemnify The Company for any loss or expense incurred due to your failure to comply with these terms.
(c) Nothing in these terms excludes any mandatory rights or protections under applicable laws, including those in the Trade Practices Act. Where permitted, The Company limits liability to the repair, replacement, or supply of equivalent goods or services.
14. RETENTION OF TITLE (a) Ownership of the goods remains with The Company until full payment is received. If you default, The Company may reclaim the goods without liability for trespass or damage.
(b) Until full payment is made, you must store the goods separately and ensure they are readily identifiable as The Company’s property.
15. STORAGE AND SUBSTITUTION See sections 8 and 10 for storage and substitution provisions.
16. WAIVER See section 11 for waiver provisions.
17. JURISDICTION This agreement is subject to the laws of New South Wales, and disputes will be subject to the jurisdiction of New South Wales courts.
